Terms of Service

Your agreement to use Closia responsibly.

Effective date: October 19, 2025

These Terms of Service (“Terms”) govern your access to and use of Closia (“we,” “us,” or “our”) and all related products, websites, and mobile applications (collectively, the “Service”). By using Closia, you agree to these Terms. If you do not agree, please do not use the Service.

1) Eligibility and Use

  • You must be at least 13 years old (or the minimum legal age in your country) to use Closia. Users under 18 must have parental consent where required by law.
  • You may only use Closia for lawful, personal, and non-commercial purposes, and in compliance with our Community Guidelines and all applicable laws.
  • You are responsible for your account activity and for maintaining the confidentiality of your login credentials. Notify us immediately if you suspect unauthorized use.

2) Your Content

  • You own the rights to content you create and post on Closia (such as outfits, images, captions, and comments). However, by uploading, you grant Closia a limited, worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your content solely for operating, improving, and promoting the Service.
  • You represent that you have the necessary rights and permissions to upload the content and that doing so does not violate any third-party rights (including copyright, trademark, or privacy).
  • We may remove or restrict access to content that violates our Community Guidelines, infringes on others’ rights, or is otherwise harmful or unlawful.

3) AI Features

Closia offers AI-powered features such as image recognition and chat-based assistance. When you use these features, your inputs (text, images, and metadata) may be processed by third-party AI providers (such as OpenAI, LLC) solely to generate the requested output. You retain ownership of your inputs and outputs, but you are responsible for ensuring that your use of AI features complies with these Terms and applicable laws.

AI-generated outputs may be imperfect or inaccurate. You agree not to rely on them as factual, and you will not hold Closia or its providers liable for any decisions made based on AI-generated results.

4) License and Restrictions

  • Closia grants you a limited, non-transferable, non-exclusive, revocable license to use the Service for personal and non-commercial purposes.
  • You may not reverse engineer, decompile, disassemble, copy, or attempt to extract source code from any part of Closia.
  • You may not use Closia to distribute spam, malware, or content that violates laws or these Terms.

5) Account Suspension and Termination

  • We reserve the right to suspend or terminate your account, restrict access, or remove content at any time if we reasonably believe you’ve violated these Terms, our Community Guidelines, or applicable law.
  • You may delete your account at any time. Some information may be retained as permitted or required by law (e.g., to prevent abuse or comply with obligations).

6) Disclaimers

Closia is provided “as is” and “as available.” We make no warranties—express or implied—about the Service’s reliability, availability, or fitness for a particular purpose. We do not guarantee that AI or image recognition outputs will be accurate or error-free.

7) Limitation of Liability

To the maximum extent permitted by law, Closia, its affiliates, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data arising from your use of or inability to use the Service.

8) Indemnification

You agree to defend, indemnify, and hold harmless Closia, its affiliates, and their respective officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including legal fees) arising out of or in connection with your use of the Service, your content, or your violation of these Terms.

9) Intellectual Property

All trademarks, logos, and content created by Closia (excluding user-generated content) remain the property of Closia and its licensors. You may not copy, modify, or use them without permission.

10) Third-Party Links and Services

Closia may contain links or integrations with third-party sites or services (including AI APIs or payment processors). We are not responsible for third-party content, privacy practices, or data handling. Use them at your own discretion and review their respective terms and policies.

11) Modifications to the Service and Terms

We may update or modify the Service or these Terms at any time. Material changes will be notified via app updates, in-app notices, or on our website. Your continued use of Closia after such updates means you accept the revised Terms.

12) Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict-of-law principles. Any disputes shall be resolved in the courts located in British Columbia, unless otherwise required by applicable law.
