End User License Agreement

Your license to use Closia.

Effective date: October 19, 2025

This End User License Agreement (“Agreement”) is a legal contract between you (“User,” “you,” or “your”) and Closia (“we,” “us,” or “our”) regarding your use of the Closia mobile application, website, and related services (collectively, the “App” or “Service”).

By downloading, installing, or using Closia, you agree to be bound by this Agreement. If you do not agree, do not install or use the App.

1) License Grant

Subject to your compliance with this Agreement, Closia grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a device that you own or control, solely for personal, non-commercial purposes.

2) Restrictions

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of the App or its content;
  • Reverse-engineer, decompile, or disassemble the App or attempt to derive its source code;
  • Use the App for unlawful, harmful, or deceptive purposes;
  • Upload viruses, malware, or content that disrupts or damages systems or data;
  • Bypass, disable, or interfere with any security or access control features;
  • Exploit AI-generated or image-recognition features in ways that infringe intellectual property or violate privacy rights.

3) Ownership and Intellectual Property

Closia and its licensors retain all rights, title, and interest in and to the App, including all software, graphics, text, design, and trademarks. This Agreement does not grant you any ownership rights in the App or any associated intellectual property.

4) AI and Third-Party Services

Closia integrates artificial intelligence (AI) technologies and third-party APIs (such as OpenAI, LLC) to provide features like image recognition, style recommendations, and chat assistance. When using these features, your data (such as text or images) may be processed by such providers to generate outputs. All data handling follows our Privacy Policy.

You acknowledge that AI-generated results may not always be accurate or appropriate. You are responsible for reviewing and using outputs responsibly. Closia and its partners are not liable for consequences arising from reliance on AI-generated content.

5) Updates and Modifications

We may release updates or patches to improve the App, add features, or fix issues. These updates may be installed automatically. Closia may modify, suspend, or discontinue any part of the Service at any time without notice.

6) Termination

This Agreement remains in effect until terminated by you or Closia. You may terminate it by deleting the App and discontinuing all use. Closia may suspend or terminate this Agreement at any time if you breach its terms. Upon termination, you must delete all copies of the App from your devices.

7) Data Collection

Closia collects and processes information as described in our Privacy Policy. By using the App, you consent to such collection and processing. We do not sell personal data.

8) Disclaimer of Warranties

The App is provided “as is” and “as available,” without warranties of any kind. Closia does not warrant that the App will be error-free, uninterrupted, secure, or that AI-based outputs will be accurate or reliable.

9) Limitation of Liability

To the fullest extent permitted by law, Closia and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the App, even if we have been advised of the possibility of such damages.

10) Indemnification

You agree to indemnify and hold harmless Closia, its affiliates, officers, employees, and licensors from any claims, damages, or expenses arising from your use of the App, violation of this Agreement, or infringement of third-party rights.

11) Apple App Store Terms (if applicable)

If you downloaded the App from the Apple App Store, this Agreement is between you and Closia, not Apple. Apple is not responsible for maintenance, support, or warranty. Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.

12) Governing Law

This Agreement is governed by the laws of British Columbia, Canada, excluding its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of courts in that province unless otherwise required by local law.

13) Changes to this Agreement

Closia may modify this Agreement from time to time. Updated versions will be posted on our website or within the App. Continued use after changes constitutes acceptance of the revised terms.
